1. Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of the Concept Validation Engine (the "Service"), operated by The Lime Agency LLC ("The Lime Agency," "we," "us," or "our"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Nature of the Service

The Service is an AI agent infrastructure. It deploys automated AI agents to search, gather, and analyze information from the public web — including data concerning consumer preferences, behaviors, habits, and other statistical or market information that is publicly available — and to synthesize that information, together with the concept description you submit, into a structured output ("Output").

Output represents an automated, AI-generated indication — a preliminary signal drawn from publicly available data and the Service's automated interpretation of it. Output is not, and should not be understood as, a guarantee, prediction, audit, or independently verified finding. Publicly available data may itself be incomplete, outdated, inaccurate, or unrepresentative, and the Service's AI agents may misinterpret, mischaracterize, or draw incorrect conclusions from it. You should independently verify anything material to a decision before relying on it.

3. Not Professional Advice — First Check Only

The Service is intended to serve as an initial, first-pass check on a product or service concept — a starting point for your own further research, not a substitute for it. Output does not constitute professional, market research, financial, legal, tax, investment, or business advice of any kind, and is not a substitute for consultation with a qualified professional in the relevant field. Any business, financial, or strategic decision based in whole or in part on Output is made at your own discretion and at your own risk.

4. Accounts

You must provide accurate registration information and are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. We reserve the right to suspend or terminate an account for violation of these Terms, fraudulent payment activity, or abuse of the Service.

5. Payments & Credits

Validation runs are purchased individually or in bulk packs as one-time, non-recurring payments processed by Stripe. Each credit entitles you to one validation run. Credits do not expire unless stated otherwise at time of purchase. Except where required by law or expressly stated, payments are non-refundable once a validation run has been started, as it consumes real compute and third-party API cost. A refund requested for a credit before any validation run has been started on it will be issued net of the credit card processing/transaction fees incurred on the original payment. Contact support if you believe you were charged in error.

6. Your Content

You retain ownership of the concept descriptions, documents, and other material you submit ("Your Content"). You grant us a limited license to process Your Content solely to operate the Service and generate your Output. You represent that you have the right to submit Your Content and that it does not infringe any third party's rights.

7. Acceptable Use

You agree not to use the Service to submit unlawful content, attempt to disrupt or reverse engineer the Service, or circumvent usage limits or payment. We may suspend or cancel accounts that violate this section.

8. No Warranty as to AI-Generated or Web-Sourced Data

Output is generated by automated AI agents drawing on third-party and publicly available web data that we do not control, curate, or independently verify. We make no representation or warranty, express or implied, as to the accuracy, completeness, currency, reliability, or suitability of any Output, or of any underlying data it is based on. Any reliance you place on Output is strictly at your own risk.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

10. Release and Waiver of Liability

To the fullest extent permitted by applicable law, by accepting these Terms and using the Service, you knowingly and voluntarily release, waive, and forever discharge The Lime Agency LLC and its officers, employees, contractors, and other representatives (collectively, the "Released Parties") from any and all claims, liabilities, damages, losses, costs, or causes of action, whether known or unknown, arising out of or in connection with your use of, or reliance upon, the Service or its Output — including, without limitation, any business, financial, or strategic decision made or action taken (or not taken) on the basis of Output that later proves to be inaccurate, incomplete, or otherwise mistaken.

In addition to, and without limiting, the release above: to the maximum extent permitted by law, the Released Parties will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising from your use of the Service or reliance on its Output, whether based in contract, tort, negligence, strict liability, or otherwise, even if advised of the possibility of such damages. Where a release of liability is not enforceable under applicable law, the Released Parties' total aggregate liability for any claim arising out of or relating to the Service will not exceed the amount you paid us in the three (3) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless the Released Parties from any third-party claim arising out of your use of the Service, Your Content, or your violation of these Terms, except to the extent caused by our own gross negligence or willful misconduct.

12. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after a change constitutes acceptance of the revised Terms.

13. Governing Law & Dispute Resolution

These Terms, and any dispute arising out of or relating to them or the Service, are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. You agree that the state and federal courts located in Florida will have exclusive jurisdiction over any such dispute, and you consent to personal jurisdiction and venue in those courts.
